Overview

Kevin has extensive experience structuring, negotiating and documenting complex real estate transactions for a wide variety of clients, including seniors housing operators, private equity funds, REITS, and other owners, operators, and developers of real estate.  Kevin’s transactional work includes many types of real estate assets (such as office buildings (including medical office buildings), retail, multi-family, industrial, and raw land) but his practice is especially focused in seniors housing.

Seniors Housing

As the lead partner of the firm’s senior housing practice group, Kevin routinely represents owners and operators of, and investors in, seniors housing.  His clients range from industry start-ups to some of the largest senior housing investors, developers, owners and operators in the sector.  Given the breadth of Kevin’s seniors housing experience, his counsel extends beyond the mere negotiation of transactions, but also to advising clients on the risks unique to the industry.  His clients often consider him as an extension of their own team and frequently consult him on issues that arise within their transactions.

Kevin works on all types of seniors housing transactions, including acquisitions and dispositions, joint ventures, financings (including both balance sheet and agency debt), property management agreements, development documents and master leases. He has experience working with all types of assets within the sector, including independent living, assisted living, memory care, and skilled nursing.

Acquisitions And Dispositions

Kevin's clients rely on him to structure, document, negotiate, and close acquisitions and dispositions of their real estate assets. This representation includes all aspects of purchase and sale transactions, including assistance with the due diligence process, lease review and the negotiation of ancillary documents such as reciprocal easement agreements, broker agreements, construction agreements, and easements.

Joint Venture Transactions And Related Structures

Kevin regularly represents both operators and investors involved in complex joint venture transactions. Kevin's experience structuring and negotiating joint ventures extends to a wide variety of joint venture strategies, including one-time acquisitions of individual property or portfolios, development joint ventures, long-term platform joint ventures and multi-tiered joint venture structures including LP and GP joint ventures. In addition to traditional joint venture structures, Kevin also negotiates alternative ownership structures such as master lease relationships.

Property Management Agreements and Development Management Agreements

Kevin’s practice frequently includes the negotiation of Property Management Agreements with particular emphasis in the seniors housing community.  Given Kevin’s unique expertise within the industry, he is particularly well suited to counsel his clients in these negotiations.  Additionally, Kevin frequently helps clients involved in project development with negotiations of Development Management Agreements and related documents.

Real Estate Finance Transactions

Borrowers rely on Kevin to negotiate financing for their real estate assets. This includes traditional mortgage and construction loans, agency loans (including Fannie Mae and Freddie Mac loans), and syndicated loans. As with all aspects of Kevin’s practice, his experience representing borrowers extends to many types of real estate, including seniors housing facilities, office buildings (including medical office buildings), multi-family, hospitality, retail, and raw land. Additionally, Kevin advises clients regarding their rights under existing loans and assists clients with loan modifications, loan assumptions, and loan workouts.

 

Experience

  • Represented a seniors housing operator in the acquisition of an assisted living facility in the Pacific Northwest for $39,450,000 and the borrowing of associated agency financing.

  • Represented a seniors housing operator in the acquisition of six assisted living/memory care facilities in Texas with a purchase price of in excess of $100 million and the negotiation of a joint venture with a REIT for ownership of the facilities.

  • Represented a major public REIT in the master lease of an 11-property skilled nursing portfolio in Texas with a value in excess of $200 million.

  • Represented a seniors housing operator in the acquisition of four assisted living and memory care communities in Northern California with a total purchase price in excess of $44 million and the associated master lease from a public REIT landlord.

  • Represented a private equity fund in the acquisition of a 11 property seniors housing portfolio and concurrent master lease to a seniors housing operator.

  • Represented a seniors housing operator in connection with the acquisition of redevelopment property in New York for with a purchase price of in excess of $200 million and the associated joint venture and development documents.

  • Represented a seniors housing operator in connection with (i) the sale of an assisted living and memory care community in Florida with a sale price in excess of $29 million, (ii) the negotiation of a joint venture agreement with a major public healthcare REIT for reinvestment in the community and (iii) the obtaining of financing with an aggregate principal amount of $22.4 million.

  • Represented a private equity fund in the acquisition of a seniors housing community with a purchase price in excess of $8 million and concurrent master lease to a seniors housing operator.

  • Represented a seniors housing operator in (i) the negotiation of a co-GP joint venture with a national property development firm, (ii) the negotiation of a development joint venture and related development documents with a private equity fund on behalf of the co-GP entity for a $70+ million development project in California, (iii) the acquisition of a leasehold interest in the development property by the development joint venture and (iv) the obtaining of construction financing with an aggregate principal amount of $46.5 million.

  • Represented a seniors housing operator in connection with (i) the acquisition of an assisted living and memory care community in Washington with a sale price in excess of $24 million and (ii) the negotiation of a joint venture agreement with a real estate investment firm for reinvestment in the community.

  • Represented a purchaser in connection with the acquisition of an established seniors housing management company.

  • Represented an owner in connection with the sale of a seniors housing community Arizona.

  • Represented a seniors housing operator in the negotiation of a master lease platform with a major healthcare REIT which included the commitment of up to $150 million for future acquisitions. The transaction also included the concurrent closing of the initial acquisition under the platform (a four-property portfolio which included independent living, assisted living and skilled nursing) for a purchase price of almost $41 million. Additionally, represented the client in the concurrent negotiation of an option to purchase two additional properties for an additional $20.6 million as well as a related management agreement for the management of the two option properties.

  • Represented seniors housing operator in connection with co-GP development joint venture and associated project level joint venture with private equity firm for independent living, assisted living and memory care facility in Illinois.

  • Represented a seniors housing operator in connection with (i) the negotiation of a co-GP joint venture with a senior housing development firm and (ii) the negotiation of a development joint venture agreement and related development documents with a private equity fund on behalf of the co-GP entity for a development project in Arizona.

  • Represented a seniors housing operator in connection with (i) the negotiation of an option agreement for an option to buy an office building in San Francisco, California and (ii) the negotiation of a consulting agreement with an affiliate of the seller with respect to obtaining entitlements for redevelopment of the development property as an assisted living community.

  • Represented seniors housing operator in negotiation of co-GP development joint venture and negotiation of project level joint venture for multi-asset seniors housing portfolio in Florida.

  • Represented a seniors housing operator in connection with (i) the sale of senior living community in California with a sale price in excess of $50 million, (ii) the negotiation of a joint venture agreement with a major healthcare REIT for reinvestment in the community and (iii) the obtaining of acquisition financing.

  • Represented a seniors housing operator in connection with the negotiation of a co-GP joint venture, a capital joint venture and a property management agreement in connection with the development of a senior living community in Maryland.

  • Represented a seniors housing operator in connection with the negotiation of a forward commitment sale agreement for the development and sale of an independent living community in Arizona upon obtaining certificate of occupancy and (ii) the negotiation of a joint venture agreement with a major healthcare REIT for reinvestment in the community.

  • Represented a seniors housing operator in the acquisition and master leasing of two assisted living/memory care communities in Louisiana.

  • Represented a seniors housing operator in connection with the refinancing of a $12.8 million loan.

  • Represented a seniors housing operator in connection with the sale of an assisted living and memory care community in Southern California.

  • Represented a public pension fund in obtaining $18,850,000 loan secured by high-rise residential building located in Texas.

  • Represented a public pension fund in the acquisition of a $78 million retail center in Louisville, Kentucky, as well as the concurrent negotiation of a complex construction easement and escrow agreement for post-closing development by seller on property acquired by buyer.

  • Represented a public pension fund in negotiation of two joint ventures with residential developers, each with an ongoing capital commitment in excess of $125 million.

  • Represented a public pension fund in the negotiation of a joint venture platform to acquire and develop medical office buildings and seniors housing facilities with a total commitment of in excess of $266 million.

  • Represented a seniors housing operator in the negotiation of a joint venture with a private equity fund, the concurrent acquisition of two assisted living and memory care facilities (one in Northern California, one in Southern California) with a combined purchase price of almost $32 million and the obtaining of a $23 million loan secured by the facilities.

  • Represented a seniors housing operator in the negotiation of a master lease platform with a major REIT which included the commitment of up to $150 million for future acquisitions. The transaction also included the concurrent closing of the initial acquisition under the platform (a four-property portfolio which included independent living, assisted living and skilled nursing located in Iowa) for a purchase price of almost $41 million. Additionally, represented the client in the concurrent negotiation of an option to purchase two additional properties for an additional $20.6 million as well as a related management agreement for the management of the two option properties.

  • Represented a REIT in acquisition of portfolio of sixteen medical office buildings in the Greenville, South Carolina area for a total purchase price of almost $163 million.

  • Represented a public pension fund in the sale of $24.6 million office building in Houston, Texas.

  • Represented a public pension fund in the acquisition of a portfolio of industrial properties in California with a combined value of approximately $558 million.

  • Represented a public pension fund in the sale of $86.5 million retail center portfolio in the northeastern United States.
