David Lari is a transactional attorney with a national presence in complex commercial real estate matters.
David represents several of the nation’s largest REITs, private equity groups, funds, developers, and investors within the healthcare, life sciences, industrial, office, and other commercial real estate sectors, handling a broad range of sophisticated, high-profile real estate matters. He specializes in assisting institutional and entrepreneurial real estate players navigate their legal needs, including acquisitions and dispositions, mergers, joint ventures, management agreements, ground leases, and development agreements throughout the country.
With over 20 years of experience, David draws upon his legal knowledge and business acumen to assist clients achieve their short- and long-term goals. His extensive industry knowledge allows him to collaborate with clients to creatively structure transactions at the frontend, negotiate favorable terms, effectively tackle legal issues, and efficiently complete deals.
Healthcare Transactions and Developments
David is a nationally recognized leader in the healthcare real estate arena, representing public and private companies in the acquisition, development, and operation of a wide variety of healthcare-related assets, including medical office buildings (MOBs), seniors housing facilities, and long-term acute care hospitals. David’s in-depth knowledge of the healthcare real estate sector, coupled with his extensive network of industry contacts, enables him to provide cutting edge service to his clients. He is a fixture at national conventions, a frequent speaker, and a quoted expert in many publications covering the changing marketplace. David has been named a “2021 Health Care and Life Sciences Trailblazer” by The National Law Journal and one of “2020 Influencers in Healthcare” by GlobeSt and has successfully completed over $10 Billion in healthcare and life sciences transactions.
Institutional Investors
David represents a number of REITs, private equity firms, publicly traded companies, funds, and other institutional investors in a variety of complex real estate transactions and developments. From the acquisition of Class A, fully-stabilized trophy properties, to the ground-up development of multi-faceted mixed use projects, David is comfortable managing all aspects of the transactional and development process, including working closely with and quarterbacking a team of land use, environmental, insurance, and construction experts. David has successfully completed a number of UpREIT and DownREIT transactions, as well as transactions involving numerous funds and joint ventures.
Experience
Represented Brookfield, one of the world’s largest real estate asset managers and developers in the acquisition of two newly constructed, state of the art warehouse distribution facilities consisting of approximately 1,832,667 square feet, located in Cherry Valley, California, for a purchase price of $329 million.
Represented one of the nation’s leading healthcare REITs in joint venture negotiations with its sponsor/developer partner and also in negotiations with the University of California, to develop a premier life sciences project on one of the UC campuses. Upon completion, the project is expected to consist of two Science and Technology buildings (together, nearly 10,000 square feet, to include at least 55,000 rsf of incubator/accelerator space), a Lifelong Learning building, a mixed-use residential structure and a parking structure, all for an estimated cost of at least $500 million.
Represented a healthcare owner/operator in the formation of a 95/5 joint venture with one of the world’s largest publicly traded REITs, pursuant to which the REIT acquired a portfolio of six medical office buildings (MOBs) located in the northeast, for a deal value of approximately $99 million.
Represented a healthcare REIT in the acquisition of a $196 million portfolio of nine medical office buildings in New York, Florida, and Massachusetts. The transaction also included seven separate loan assumptions totaling more than $100 million.
Represented a public REIT in obtaining a $200 million unsecured credit facility.
Represented a public company in the sale of a 92-unit adaptive reuse shelf condo project located in Los Angeles.
Represented a group of private investors in the acquisition of a portfolio consisting of three hospitals and ancillary healthcare-related assets in Southern California.
Represented a healthcare REIT in the acquisition of a $161 million portfolio of sixteen medical office buildings located in South Carolina.
Represented a healthcare REIT in the acquisition of a majority interest in a partnership that owns a medical office building located in Houston. The transaction was structured so that the seller group (consisting of more than 20 physicians) was provided the right to remain in the partnership that owns the building, receive limited partnership units in the REIT's operating partnership ("UPREIT" structure), and/or receive cash.
