Scott is a transactional real estate lawyer with a vast experience in all aspects of developer/owner representation including leasing, acquisitions and dispositions, joint venture structuring, borrower representation, and development matters with a particular emphasis in commercial leasing (retail, office, and industrial). His clients seek his counsel because of his reputation for efficiently handling all elements of property ownership and development from acquisition, financing (debt and equity), lease-up through disposition. Scott advises his clients on relevant legal issues while balancing business considerations to result in effective, but cost efficient, representation while creating and maintaining positive working relationships with all parties.

Representation Of Developers And Retailers In Retail Properties

Scott has extensive experience in the negotiation and documentation of all types of retail leases and other retail related documentation (such as CC&Rs, ground leases and pad sale agreements). He has worked extensively with large and small retail developers and retail operators on leasing matters within regional malls, power centers, entertainment/lifestyle centers, community shopping centers, neighborhood shopping centers, and mixed-use projects. These leases include build-to-suit leases, reverse build-to-suit leases, pad leases, major tenant leases, and shop leases.

Industrial Leasing And Development

Scott has negotiated and drafted leases on behalf of landlords and tenants for millions of square feet of industrial space in multi-tenant and single-tenant industrial projects, and has experience with issues of particular importance to industrial leasing transactions, including hazardous materials related matters and matters specific to build-to-suit transactions.

Acquisition And Dispositions

Scott has significant experience in purchase and sale transactions for a wide spectrum of properties, ranging from unimproved land for retail, office, industrial, and residential development, to income generating properties, including retail, office, industrial, and multi-family.

Experience

  • Represented a developer of mixed-use office, retail, and residential condominium project, including preparation of master project covenants, conditions and restrictions, and negotiation of office and retail leases and loan documentation.

  • Represented a developer of multi-building office campus, including negotiation of land purchase agreement, entitlement agreements with city, venture agreements with equity partner, loan documentation, construction contract, and office leases.

  • Represented a developer of 1.2 million square foot distribution facility, including negotiation of land purchase agreement, master developer site work agreement, single tenant lease, development management agreement, and construction contract.

  • Represented a national food service retail tenant in all leasing and real estate related matters.

  • Represented a regional "big box" retail tenant in all leasing and real estate related matters.

  • Represented a publicly traded multi-family REIT in real estate acquisition, disposition, ground lease, and development matters.

  • Represented a national chain grocery store operator/developer in sale of multi-project portfolio of shopping centers with lease back of anchor grocery store locations.
